1. Who we are

ImportBrain is provided by Emmanuel Aweperi Adiba, trading as Portforge Technologies, a business name registered with the Office of the Registrar of Companies in Ghana (registration number BN679000626), of CB44 Ana St, Tindonmolgo (“we”, “us”). These terms form an agreement between us and the business that creates an ImportBrain account (“you”). By creating an account or using ImportBrain, you accept these terms.

2. Who can use ImportBrain

  • ImportBrain is for business use only.
  • You must be at least 18 years old and able to enter into a binding contract.
  • If you sign up on behalf of a business, you confirm that you have authority to accept these terms for it.
  • You are responsible for keeping your login details safe and for everything done under your account.

3. Free trial and founder pricing

  • Founder accounts get a free trial of 90 days. No payment details are needed to start.
  • Before your trial ends, we will tell you how to continue on a paid plan. If you do not subscribe, your account becomes read-only: you can still view and export your data, but you cannot add new records.
  • The founder price is GH₵99 per month. It stays the same for as long as your subscription stays active on the plan you joined. It ends if you cancel, or if a payment remains unpaid after the grace period in section 4. It applies to the plan you joined, not to separate products or add-ons we may introduce later.

4. Billing

  • Prices are in Ghana cedis and are shown on our pricing page. Where we are required to charge VAT or other taxes, they will be shown on your receipt.
  • Payments are processed by Paystack. Card subscriptions renew automatically at the end of each billing period. Mobile money subscriptions do not renew automatically: we will send you a payment link before each renewal.
  • If a payment fails or is not made, you have a 7-day grace period. After that, your account becomes read-only until payment is made.
  • You can cancel at any time. You keep access until the end of the period you have paid for. Refunds are covered by our Refund Policy.
  • We will give you at least 30 days' notice before changing the price of your plan.

5. Your data

  • You own the business data you put into ImportBrain. We use it only to provide the service to you, as described in our Privacy Policy.
  • You can export your data at any time, including while your account is read-only.
  • After you cancel, we keep your data for 90 days so you can return or export it. We will warn you before we delete it.
  • If you store personal data about your own customers or suppliers, you are responsible for having a lawful basis to do so under the Data Protection Act, 2012 (Act 843).

6. Calculations and exchange rates

  • Landed cost, duty, levy and margin figures are estimates to help you plan. They are not tax, customs or financial advice. The assessment issued through ICUMS by the Ghana Revenue Authority is the amount you must pay.
  • Live exchange rates come from a third-party data provider and may be delayed or differ from the rate you get from your bank, agent or forex bureau. Batch figures use the rates you enter.
  • You remain responsible for your own pricing, purchasing and tax decisions.

7. Acceptable use

You must use ImportBrain in line with our Acceptable Use Policy. We may suspend or close an account that breaks it.

8. Availability and changes to the service

We work to keep ImportBrain available and your data safe, but we do not guarantee that the service will be uninterrupted or error-free, and we do not offer a service level agreement. We may improve or change features over time. If we remove a feature that is central to your plan, we will tell you in advance.

9. Liability

  • To the extent the law allows, our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim arose.
  • We are not liable for indirect or consequential losses, such as lost profits, lost business or losses caused by relying on an estimate.
  • You agree to compensate us for claims made against us by third parties that result from your breach of these terms or your unlawful use of the service.
  • Nothing in these terms limits liability that cannot be limited under Ghanaian law.

10. Ending this agreement

You can close your account at any time. We may suspend or close your account if you seriously or repeatedly break these terms, or if the law requires us to. Where we can, we will give you notice and a chance to export your data first.

11. Changes to these terms

We will give you at least 30 days' notice by email or in the app before changes to these terms take effect. If you keep using ImportBrain after that, the new terms apply.

12. Law and disputes

These terms are governed by the laws of Ghana. If a dispute arises, we will first try to settle it through good-faith negotiation for 30 days. If that fails, the dispute will be referred to alternative dispute resolution under the Alternative Dispute Resolution Act, 2010 (Act 798), before either party goes to court.
